No-Offer / No-Solicitation Statement

HardMoney.com is a marketing and referral platform. We are not a broker-dealer, investment adviser, or funding portal registered with the SEC or any state securities regulator. We do not sell, offer, or recommend any securities. We do not receive or handle investor funds at any time.

Our sole function is to introduce accredited and institutional investors to FINRA-registered broker-dealers who specialize in private-lending and real-estate-secured finance opportunities. All securities transactions, investment advice, and fund handling occur exclusively through these licensed broker-dealers, not through HardMoney.com.

Marketing Fee Disclosure

Licensed broker-dealers pay HardMoney.com a fixed marketing fee for introductions to qualified investors. This fee is paid by the broker-dealer, not by investors. The marketing fee arrangement does not affect the terms, pricing, or structure of any securities offered by broker-dealers.

HardMoney.com does not receive transaction-based compensation, performance fees, or any portion of investor funds. Our compensation is limited to the fixed marketing fee paid by broker-dealers for access to our investor introduction service.

Investor Responsibility and Risk Notice

Private-lending and real-estate-secured investments involve significant risks, including:

  • Loss of Principal: You may lose some or all of your invested capital.
  • Illiquidity: Private securities are not publicly traded and may be difficult or impossible to sell before maturity.

Accredited Investor Requirement

Most private-lending opportunities require investors to qualify as "accredited investors" under SEC Rule 501 of Regulation D. Accredited investor status is verified by the broker-dealer, not by HardMoney.com.

Generally, an accredited investor is an individual with:

  • Net worth exceeding $1,000,000 (excluding primary residence), or
  • Annual income exceeding $200,000 ($300,000 with spouse) in each of the two most recent years with reasonable expectation of the same income level in the current year, or
  • Certain professional certifications (Series 7, 65, or 82 licenses)

Institutional investors and certain entities may also qualify as accredited investors under different criteria.

Any dispute arising from your use of this website or our referral services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall be conducted in New York, New York. You waive any right to a jury trial or to participate in a class action.
